Acceptance of these Terms of Use are required to use the Platform. IgniteDemand reserves the right to change these Terms of Use at any time without notice. It is your responsibility to review these Terms of Use, as it creates a binding legal agreement between you and IgniteDemand. If you use the Platform after we have changed any of the Terms of Use, you are agreeing to all the changes. To the extent that you or your employer (to the extent you are using the Platform in your capacity as an agent of your employer) has entered into another written agreement with IgniteDemand that contains terms that directly conflict with any terms of these Terms of Use, then the conflicted terms set forth in such other agreement will control. These Terms include the website Terms and Conditions of BNP, available at [https://www.bnpmedia.com/terms] (the “Website Terms”), which are hereby incorporated by reference, to the extent such Website Terms are not inconsistent with these Terms.

Any access or use of the Platform by anyone under the age of 18 is prohibited. By agreeing to these Terms of Use, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter and abide by these Terms of Use.

Any personal information submitted in connection with your use of the Platform is subject to our privacy policy found at https://www.bnpmedia.com/privacy (the “Privacy Policy”), which is hereby incorporated by this reference. We will use information about you that we obtain either directly from you or that we obtain through your use of the Platform in accordance with our Privacy Policy solely in furtherance of providing you Platform services and improving the Platform.

The Platform contains copyrighted materials, trademarks, proprietary and confidential information, and intellectual property of IgniteDemand and its parent company BNP Media (collectively, “Proprietary Materials”), including without limitation source code, video, text, software, photos, graphics, images, and sound. You agree not to modify, publish, transmit, participate in the transfer or sale of, create derivative works of, or in any way exploit, in whole or in part, any Proprietary Materials. Proprietary Materials may only be accessed through the Platform, and not by or from any other site or means. The right of access to the Platform does not grant to you any right to download or store any Proprietary Materials in any medium.

The Platform and all components is protected by copyright. Complying with all applicable copyright laws is your responsibility. If you give feedback on the Platform, for example recommendations for improvements or features, such feedback will be deemed non-confidential and non-proprietary, and implementation of that feedback is owned by us and may become part of the Platform without compensation to you. We reserve all rights in and to the Platform unless we expressly state otherwise.

We reserve the right to modify, restrict, or revoke access to specific data sets, tools, or features at any time during your subscription period if we determine that such access is no longer included in your current service plan or subscription tier. These changes may occur due to updates in our offerings, realignment of features across plans, or discontinuation of certain data services. Continued use of the platform constitutes acceptance of these terms.

Standard Lead data available at the free registration level for all channels included in the Platform —which includes but is not exclusive to Webinar, eBook, Sponsored eBlasts, Continuing Education, Advanced Marketing Solutions—will remain accessible for 90 days from the date of generation. After this period, lead data will no longer be available. Lead data is available based on applicable privacy laws and is subject to change in accordance with the those laws.

Leads are provided to you based on advertising campaigns purchased through BNP Media and one of its subsidiary brands as subject to our Privacy Policy. Leads are for use only by the advertising company of record and their authorized agents. Lead data may not be sold to a third party or used for any purposes outside of the advertising company of record’s marketing purposes.

Each monthly subscription grants access to one company’s IgniteDemand leads for one month. A “Company” is defined by one account ID, as determined by BNP Media. Users cannot add additional account IDs under a single subscription. Access to additional account IDs requires separate purchases.

If two individuals at the same company require access to different sets of leads, they must set up separate parent subscriptions, each tied to its respective lead data access.

For example:

• If the CTO of ABC Company wants access to ABC Divisions 1, 2, and 3, and

• The CEO of ABC Company wants access to ABC Divisions 3, 4, and 5,

• They must purchase two separate subscriptions to accommodate these different access requirements.

Users cannot opt out of billing details as part of their subscription. Payment details must be provided and remain on file for continued access to IgniteDemand.com services.

By subscribing to IgniteDemand.com, users agree to these terms and conditions.

Users may cancel their auto-renewal at any time through their IgniteDemand.com account settings or by contacting customer support. However, cancellations will take effect at the end of the current billing cycle, and no refunds will be issued for any unused portion of the subscription term.

By subscribing, the user acknowledges that all payments are final and that canceling auto-renewal does not entitle them to a refund for the remaining duration of their contract. Users will continue to have access to their subscription benefits until the end of their current billing period. Lead generating advertising campaigns to support IgniteDemand are non-cancellable and are subject to separate terms as part of the standard Insertion Order invoice process.

REFERENCES TO “YOU” OR “YOUR” IN THESE TERMS SHALL MEAN YOU AND THE COMPANY ON BEHALF OF WHICH YOU ARE AGREEING TO THESE TERMS. BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE CONTENT, OR ANY OF THE PLATFORM SERVICES OR OTHERWISE SIGNIFYING YOUR ACCEPTANCE OF THESE TERMS, YOU REPRESENT AND WARRANT THAT (A) YOU ARE AUTHORIZED TO ENTER THESE TERMS, AND ARE DOING SO FOR YOUR COMPANY, (B) YOUR COMPANY CAN LEGALLY ENTER INTO THESE TERMS (C) YOU WILL USE THE CONTENT, AND ANY OF THE PLATFORM SERVICES FOR INTERNAL BUSINESS PURPOSES ONLY, NOT FOR PERSONAL OR HOUSEHOLD USE.

The user is solely responsible for ensuring that they have the proper authorization to access company lead data on IgniteDemand.com.

If a user no longer has the legal right to access a company’s leads—whether due to a change in employment, business relationship, or any other reason—the user agrees that it is their responsibility to immediately notify IgniteDemand.com in writing.

We may immediately terminate your Account, or suspend your access to your Account, in our sole discretion and, without notice, for conduct that we believe is: (i) illegal, fraudulent, harassing or abusive; (ii) a violation of these Terms or any other policies or guidelines posted by BNP Media; or (iii) harmful to other users, third parties, or the business interests of BNP Media. Use of an Account for illegal, fraudulent or abusive purposes may be referred to law enforcement authorities without notice to you. If you file a claim against BNP Media, or a claim which in any way involves BNP Media, then we may terminate your Account. Upon termination of your Account by us for any of the above-mentioned reasons, (a) you may not establish a new Account for a period of one year (or such other duration as we may determine in our sole discretion) from the date of termination, (b) you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party (C) we will have no obligation to notify any third parties regarding such termination, and (d) you will be responsible for any damages that may result or arise out of termination of your Account.

BNP Media and IgniteDemand.com assume no liability for any unauthorized access, misuse, or improper viewing or downloading of lead data by any individual who does not have the legal right to access such information. The responsibility to ensure proper access permissions lies solely with the user and/or the entity that granted the access.

WE DO NOT WARRANT THE COMPLETENESS OR ACCURACY OF THE INFORMATION PUBLISHED ON THE PLATFORM; NOR DO WE COMMIT TO ENSURING THAT THE PLATFORM REMAINS AVAILABLE OR THAT THE MATERIAL ON THE PLATFORM IS KEPT UP-TO-DATE.

USE OF THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM IS PROVIDED ON A “AS IS” AND “AS AVAILABLE” BASIS. IGNITEDEMAND EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

You agree to indemnify and hold us and our parents, subsidiaries, affiliates, directors, officers, agents, co-branders or other partners and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the Content, your use of the Platform, your connection to the Platform, your violation of these Terms, or the infringement or violation by you of any intellectual property or other rights of any person or entity, whether you are a registered user or not. You are solely responsible for your actions when using the sites, including, but not limited to, costs incurred for Internet access. You hereby agree to indemnify, defend, and hold harmless BNP Media and its subsidiaries, divisions, affiliates, officers, directors, employees, agents, service providers, contractors, assigns, users, clients, providers, licensees, and successors in interest (“Indemnified Parties”) from any and all claims, losses, liabilities, damages, fees, expenses and costs (including attorneys’ fees, court costs, damage awards, and settlement amounts) that result from any claim or allegation (“Claim”) against any Indemnified Party arising in any manner from: (1) your access to or use of the Platform; (2) Your content, or any other information or data you provide to BNP Media; (3) your violation of applicable laws; and (4) your breach of any provision of these Terms. BNP Media will use reasonable efforts to provide you with notice of any such claim or allegation, and BNP Media will have the right to participate in the defense of any such claim at its expense.

Without affecting any other limitation of liability contained in these Terms or otherwise:

IN NO EVENT WILL WE BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE PLATFORM RELATED THERETO, INCLUDING, WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER USERS OF THE PLATFORM RELATED THERETO OR PERSONS INTRODUCED TO YOU THROUGH THE PLATFORM;

(ii) IN NO EVENT WILL WE BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR INDIRECT DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SAAS SERVICES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OR CORRUPTION OF DATA OR PROGRAMS, SERVICE INTERRUPTIONS AND PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF WE KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; and

(iii) IN NO EVENT SHALL THE AGGREGATE LIABILITY OF BNP FOR ANY DAMAGES ARISING UNDER THESE TERMS, OR OUT OF YOUR ACCESS OR USE OF, OR INABILITY TO ACCESS AND USE, THE SAAS SERVICES EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO BNP IN CONNECTION WITH THE PURCHASE OF YOUR SUBSCRIPTION IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
